[Summary] SM v. Korean Fair Trade Commission
Yesterday we posted the court decision from 2002. SM was ordered by the Korean FTC to modify its unfair contracts, but instead of complying, SM filed a suit against the FTC. The court dismissed SM’s suit. Because of the length of the original post (found here), a few readers asked for a summary. We provide it below.
SM v. Korean Fair Trade Commission (Dossier 2002누13613), Seoul High Court Judgment issued 2004.4.1: Summary
In 2002, SM Entertainment— the Petitioner—was given orders by the Korea Fair Trade Commission—the Defendant—to modify the content of its exclusive contracts with its contracted entertainers, which the Commission deemed violated relevant national fair trade law with regards to unequal bargaining power as well as posed a threat to civil and social security as defined by Article 103 and 104 of the Korean Civil Code. SM Entertainment not only refused to comply with the Commission’s orders but filed suit against the Commission to have its orders overturned.
SM Entertainment argued: 1) Its business model relies on investing in untested young singers, and since such investment carries high investment risk of incurring loss, contractually burdening singers with extremely high penalties for breach of contract is justified in order to gain back the its investment costs and cover for failed investment losses; 2) The Commission has no jurisdiction in relation to private exclusive contracts negotiated between singers and their entertainment management companies; and 3) the exclusive contracts SM Entertainment uses do not violate laws on exclusive regulation or Fair Trade Law Article 23, Section 1, Sub-section 4 on unfair bargaining and unequal negotiations.

C-JeS announced that it was changing the seating arrangements to the Pusan concert. Even though the newly-designed stage looked great, for some reason most fans who had purchased floor seats with much trouble were suddenly relegated to second floor seating. The fans asked for an explanation. We translate the apology C-JeS made.
Statement Asking for Understanding Regarding the Seat Changes of the JYJ World Tour In Pusan
Dear Fans,
We are sorry that we have made you suffer through inconvenience and confusion with our announcement that the seating arrangement of the Pusan concert will be changed. Furthermore, even though this is a change that is occurring within days of the concert date, we did not give you a sufficient explanation and apology, and we are sorry.
The gymnasium rented for the Pusan concert, due to reasons such as its age and the load of the floor equipments, is prevented from having any floor seats whatsoever. In order to give the gift of the concert to as many fans as possible we tried our best in order to obtain the approval through undergoing a reinforcing construction of the floor and reducing the stage load, but last week we received the final notification that to put the floor seats would be prohibited.
Therefore, we hurriedly modified (the seating arrangements) in order to minimize the inconvenience to the fans and in the direction that we make a stage that is better for your viewing, and made the announcement of the seat changes.
